DronePrep Platform – Terms & Conditions

Introduction

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE DRONEPREP PLATFORM (THE DRONE MAP), WEBSITE OR INSTRUCTING CONSULTANCY SERVICES RELATING TO DRONE ACCESS POLICIES FROM DRONEPREP LTD


 

We provide a platform that helps our customers determine where it is possible to fly a drone and explains the terms of access deemed suitable by the landowner for permitting access to their land and low-level airspace. Our ‘Platform’ aggregates primary data from Landowners and Drone Users as well as third party open and commercial datasets. These Terms and Conditions (together with the documents referred to in them) tell you the terms on which you may use the Platform. 

By using our Website, Platform or engaging with our commercial services, you confirm that you accept our Terms and Conditions and that you agree to comply with them. We recommend that you keep a copy of these Terms and Conditions for future reference.

If you do not agree to these Terms and Conditions, you must not use our Platform or Website.

Other applicable terms

· Privacy Policy – our Privacy Policy explains what personal information we collect, why we collect it, how we use it, the controls you have over your personal information and the procedures that we have in place to protect your privacy. It applies to personal information we collect through the Platform.Please make sure that you read our Privacy Policy carefully before using the Platform. 

· Cookies Policy- our Cookies Policy explains what cookies are, why cookies are used, which cookies are used on the DronePrep Website and how you can manage cookies used on the Website.

Information about us

We are DronePrep Ltd, a company registered in England and Wales (registration number: 12107809) (“DronePrep“, “us“, “we” or “our“). Our registered address is 50-51 Malvern Hills Science Park, Geraldine Rd, Malvern WR14 3SZ.

Your use of our Platform, Website and/or Commercial Services

Any data provided through the Platform, Website or via our Commercial Services is advisory only and you are responsible for complying with any laws, regulations and codes that apply to you as a drone operator or landowner. 

You may only use our Website, Platform and services for lawful purposes. You may not:

· Use the our Website, Platform or services for any unlawful purpose, or in a way which infringes the rights of anyone else or restricts or inhibits anyone else’s use or enjoyment.

· Copy, modify, reverse-engineer, decompile, disassemble, alter or otherwise tamper with any software (including source code), databases and other technology that forms part of the our Website, Platform and services (or authorise, encourage or assist any other person to do so).

· Knowingly transmit any data that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programme or similar computer code designed to adversely affect the operation of any computer software or hardware.

· Penetrate or attempt to penetrate the Platform or Website’s security measures.

Your access to the Platform and Website

We do not guarantee that the Platform or Website, or any content included within each, will always be available (and we may in limited circumstances decide to withdraw or supersede it).

We may suspend, withdraw or discontinue your access to the our Website and Platform or services, or any part of it, if we have reasonable grounds to believe you have breached or may breach any provision of our Terms and Conditions.

Where possible, we will give you notice of our intention to do so, and give you an opportunity to appeal.

Updates and upgrades

From time to time, we may need to deploy or provide patches, updates, upgrades, additional content or other modifications to the Website or Platform (for example to enhance how it works, add or, remove features, resolve software bugs or to address security concerns).

Such updates and upgrades may result in the Website, Platform or our services being temporarily unavailable. In certain circumstances, we may need to suspend, withdraw or disable the Website or Platform while we deploy these updates and upgrades.

We will take reasonable measures to minimise the impact of any updates and upgrades on your use of the Website and Platform, and where possible give you advanced notice of any updates and upgrades which may impact your use of our services.

Your account and password

In order to use our Platform, you will need to register for a DronePrep account, or to sign in to your existing DronePrep account. If you are registering for an account, you confirm that all information and details you provide to us are true, accurate and up to date. You must keep your DronePrep account password confidential. You must not disclose your password to any third party.

If you know or suspect that anyone other than you knows your password, you must promptly change your password and notify us via email. 

Intellectual Property Rights

We are the owner or licensee of all intellectual property rights in the Website and Platform, and in all data, material and content published on it.

Your use of the Website and Services and its contents grants you no rights in relation to our, or our licensors’, intellectual property rights (except as set out in these Terms of Use).

In return for your acceptance of these Terms of Use, we grant you a non-exclusive, worldwide licence to download, display and use the Platform on any device that you own or control. This licence is for your personal use only (meaning it may not be used for commercial use or gain) and is non-transferrable (meaning it cannot be given to anyone else).This licence ends without notice when you no longer use the Platform or otherwise when we tell you we are ending it.

Our liability

Nothing in these Terms and Conditions excludes or limits our liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation, nor is anything in these Terms of Conditions intended to affect your rights if you are acting as a consumer.

The information services provided by the Website and Platform are advisory only. We make no promises that your use of the mapping or whether information services provided by the Website or Platform are confirmation that you can fly a drone in those areas or that the weather conditions ensure that it is safe to fly a drone in those areas. We will not be liable to you for any losses or damages suffered by you resulting from your use of, or reliance on, the mapping or whether information services provided by the Platform or Website. It is your responsibility to ensure that you check the weather conditions and other stakeholder considerations which affect flight and access at the time you operate your drone. We also accept no liability for any incidents which may occur by drone users accessing land or landowners via our Platform.

We will not be liable to you for any losses or damages suffered by you that: (i) were not foreseeable by us and by you at the time you accepted these Terms and Conditions; (ii) are not caused by any breach of these Terms and Conditions or other failure by us.

We are not a party to, and have no liability to you under, or arising out of or in respect of, any the land/airspace access policy between pilots and landowners using our Platform, Website or Services. You agree not to involve us in any dispute you may have in respect of any Drone/Landowner access policy. 

We make no statement that any data, materials or content made available on the Website, Platform or services are accurate, complete or up-to-date (including the mapping services. We are not responsible for any data, materials or content which are made available on the Website, Platform or our services by third parties. However, we will always use reasonable skill and care when making data, materials or content available (or allowing it to be made available).

While we take reasonable precautions to prevent the existence of computer viruses and/or other malicious programs in the Platform, we cannot guarantee that there will not be any.

Changes to these Terms and Conditions

These Terms and Conditions (published 13 July 2021) relate to the development of our products to date (namely the DronePrep website and DronePrep Platform – The Drone Map) We may revise these Terms and Conditions at any time, for instance to reflect changes in or to relevant laws, regulatory requirements, our business, or the Platform’s functionality or features.

By continuing to use the Website, Platform or our services, following notice of any revisions to these Terms and Conditions, you confirm that you accept those revisions. If you do not agree to the revisions, you must stop using our Website, Platform and services.

General

If any part of these Terms and Conditions is disallowed or found to be ineffective by any court or regulator, the other provisions shall continue to apply.

If you breach these Terms and Conditions and we take no action against you, we will still be entitled to use our rights and remedies in any other situation where you breach these Terms and Conditions.

Disputes

We will do our best to resolve any disputes over these Terms and Conditions and your use of the Website, Platform or our services. If you wish to take court proceedings against us, you may do so within the courts of England and Wales. However, if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, if you are resident of Scotland, you may also bring proceedings in Scotland. Please note that these Terms and Conditions are governed by English law.
